This is where your problem lies, you do not need to install any other os to use an XP upgrade disk ... period
Put cd rom as first boot in the bios, insert XP cd, reboot, hit any key to boot from cd when prompted (keep an eye out for this it goes by fast and if you dont pay attention is easily missed). Then delete your primary partition create a new one (use NTFS file format, do a full format not a quick format) install XP, at some stage of the install process you will be asked to insert a Windows os disk (other than the XP disk you are installing from) to verify you owned a previous windows os and can use the upgrade XP disk, any windows disk other than 95 will work, you do not need a serial or anything, the installer just verifies it is a previous os and then continues with installing.
