Don't know if this will help, try a System File Check go to Run / tpye "sfc /scannow" ( without the quotes and note space after sfc ) have Win CD available in case sfc needs to replace or repair files.Also take a look at this
http://www.theeldergeek.com/shutdown_issues_in_xp.htm it may throw some light on the problem.
