You shouldn't need to do anything with the CMOS unless it dosen't auto detect CPU speeds, and then you just need to go into the bios and set CPU FSB and multipliers.

When you recieve the new CPU, drop it into place and boot. It should just boot normally into windows. Once your in, install clearinfo (google clearinfo) and at the top it will tell you the CPU type. If it does not say 'AMD 3200' then you need to fiddle with the settings in the bios. If not, your all good to go.
