Like I said I'm not 100% sure of this driver, but Soundmax is picky try installing this way, make a notee of where the unzipped files are, you will need to force the install

1. Expand "Sound, video and game controllers"
2. Right-click the the yellow flagged device ( or audio device Realtek, Soundmax C-Media etc ) and choose Update Driver
3. In Windows XP SP2, the Update Wizard will prompt to connect to the Windows Update
4. Select "No, not this time" and click Next
5. Select "Install from a list or specific location (Advanced)" and click Next.
6. Select "Search for the best driver in theses locations" and check "Include this location in the search"
7. Click Browse and select the location of downloaded driver
8. Click OK and click Next
9. Wait while the Wizard installs the software
10. Click Finish.

Set a System Restore Point before installing driver just in case
Start / All Programs / Accessories / System Tools / System Restore / select Create a restore point and follow instructions

its not suppose to pick up ac97 audio right? because thats the one that auto resets when i update ._.

Go here to Intel, No:5 the INF driver - install then Restart your comp - then try installing the audio again, using the forced install

Try Win Update - custom see if it offers any drivers for audio
