Problem Formatting HardDrive in XP

I installed this harddrive which i took from my old computer and placed it into my new one, this harddrive still has some files in it including it own operating system "Window XP"

When i try to format my secondary slave hard drive by right clicking the drive in "My Computer" and press start it say the following:

WARNING: Formatting will erase ALL data on this disk. To format the disk, click OK. To quit, click CANCEL.

This isn't the problem yet but when i press Ok another sign pops up:

Windows cannot format this drive, Quit any disk utilities or other programs that are using this drive, and make sure that no window is displaying the contents of the drive. Then try formatting again.

I have not open anything on that drive and still doesn't work.

check disk managment see if you can format through that,,also try safe mode and do a format..so i am guessing windows has assigned a drive letter to this drive.
