Overclocking Failed! Please enter Setup to re-configure your system.

Ok, I just got a new Motherboard (Asus PS4800D-X) and the first time I booted the system, it just kept beeping at me.. So I shut it down, checked all my wiring and then restarted. Came up with no problem but before it started to load windows, I got the error message:

Overclocking Failed! Please enter Setup to re-configure your system.
Press F1 to Run SETUP
Press F2 to load default values and continue

I can press F2 and the system loads fine, no problems. But if i try to restart, it'll shutdown fine and when it trys to boot up I'll get the series of beeps and the monitor wont even come on. at that point I have to shut it down and restart and it'll come up fine and give me the same error message.

I dont know model numbers or anything but heres a basic breakdown of my system:
CompUSA brand 500w PSU
Asus PS4800D-X Motherboard
Intel P4 3.00 Ghz w/ HTT
4 x 256mb DDR PC3200 Mem.
256 AGP 8x ATI Video Card
40 GB 7200rpm HD

Judging by the google search on this error message, a lot of people get this message using Asus motherboards. I dunno what to do. I'm pretty sure the PSU is large enough. I can think of anything else that could be wrong. If anything I guess i'll try a bigger name brand PSU. I'll just exchange mine in for a larger one.. lol.. thank you for your time.
