Windows 2000 Pro SP1 Setup Troubles!!

Am currently using my pc with Win98SE installed on it, but since 1 week i've been trying to install Win2000, as 2nd OS, and till now am getting some problems.

In fact my capture card's driver (Pinnacle PCTV) works only under Win2000 and higher. And thats the reason why i want to install Win2000.

I've tried to install Win2000 by upgrading from Win98SE, but still, when setup has completed and i restart my pc to enter Win2000, my pc restarts by itself when Win2000 starts at the loading screen.

I've formatted my primary hard disk and installed Win98SE, which is running fine. But i still want to use Win2000, as well as my capture card. So, i've decided to install Win2000 as 2nd OS. But i've noticed something.

While installing Windows 2000 Professional SP1 (bootable CD)...
While doing the Setup process, my pc restarts itself when Setup tries to install Network Components. And after the restart, the Setup process is restarted, and when it tries to install the Network Components, my pc restarts again. I've checked whether there is something wrong with the power supply or other hardware, but though everything is ok, i can't install Win2000.

Can someone help me out?

Sound Card:- C-Media Audio CMI 8738/C3DX PCI
Modem:- Conexant Soft K56 Speaker Winmodem
Multimedia:- Pinnacle PCTV Stereo PAL Capture (This card is not currently working under Win98SE, since its driver has stopped working under Win98SE)

Can someone help me out?

If you can, can you also help me to find a way to run my capture card under Win98SE, if installing Win2000 is not possible.

I've tested other Universal VFW WDM drivers for my capture card, but it still doesn't work. Can you give me some ideas about what to do to use my capture card under Win98SE?

Are you installing Windows 2000 on to another partition or another hard disk that doesnt have the Win98 install on?

Take out the cards that you dont need such as Sound card, the Pinnacle PCTV card and your modem PCI card (assuming its a PCI modem).
