WinXP Driver Problems

I have a Dell Inspiron 7000 laptop. And I upgraded from Win 98 to WinXp. This is a 500Mhz P3 384 ram computer. My first problem is that WinXP seems to recognize my ethernet card fine but it always says a Network cable is unplugged. I checked the cable, modem on another computer and it works fine. I tried another ethernet card on this computer and it works fine..So its some setting or driver or something. My ethernet card is a Dell branded 3Com Ethernet Card model #3CCFE575BT-D and I am unable to locate WinXP drivers for it. The wierd thing is winXP recognizes it fine except it always says a network cable is unplugged.

Problem#2
I get a Yellow Exclamation next to MultiMedia Video Controller in the Other menu in device Manager. I thought it was my Video Card but I see it above and I dl the WinXP drivers for it again to make sure...And I still see this... Anyone know what this could be or how to resolve it... I have no other device attached or any special hardware.

Problem #3
WinXP locks up on me often. It seems to be doing this a lot when Im transfering things from my USB 2.0 Hard Drive to my desktop. Or even playing music from my external 2.0 cd-rw. I thought it was bad memory, but when I replaced the memory the same thing happens. It will just lock the whole screen and I wont be able to hit any keys or move my mouse.

Any ideas will be much appreciated.
