First of all you will need a network cable that has been "cross-wired". Commonly called a cross-over cable. If you don't know how to make one, look for or ask for one at a computer shop. Basically, a cross wired cable performs the switch function that a hub or switch would perform.

Once you have the cable, connect it directly from PC to PC.
You'll need to set the IP address for each computer.
Click, Start, Settings, click Network Connections.
Right click on the lan connection and select Properties.
On the General tab, double click Internet Protocol to open its properties. Enter an IP address number.
Use a generic private number scheme such as 192.168.0.x, where x is any number 1-254. Press the Tab key and the default subnet mask will be put in. (255.255.255.0) Leave it. Ok the screens to close. XP will dynamically update its network information. Unlike Windows 98 or Me.

Now you will need to set the workgroup name of each computer to the same name.
Right click on My Computer and select Properties.
Select the Computer Name tab. Click the Change button.
Enter a workgroup name (ex: home)
You will need to reboot to fully use the new workgroup name.

If you want to use internet connection sharing, that will take only a little more setup in the network connection properties.

The computer that will be sharing the internet connection should be address 192.168.0.1 for ease of setup.

To share the internet connection you need to use software to share it or the built-in Windows XP ICS (internet connection sharing).

You did not state the type of connection you have, but they all are pretty much the same.

Go to you network connections again. Right click on the connection that connects to the internet. Select the Advanced tab. Check the box "Allow other network users to connect....connection"

You should uncheck the Internet Connection Firewall until you verify everything is working. Ok the windows.

Now go the the second computer and open the network connection properties again. Open the Internet Protocol properties and for the gatesway IP address enter the sharing computers number (192.168.0.1)

Ok the windows.
At this point reboot the 1st computer, then the second.

Now, if the first computer can surf, but the second cannot, you will need to find the DNS server IP numbers to use on the second computer. These rarely change. So, find them and keep them written down.

Click Start, Run. type cmd, then press enter.
At the prompt in the Window that comes up, type ipconfig /all
That's ipconfig then a space and then /all. Press enter.
It'll spit out all your connection information, but what your looking for will down the list "DNS Servers". and there will be two number sets listed. Write them down. Close the window.

Go to the second computer, open its network connection properties. Open Internet Protocol properties and enter these two numbers in the DNS Server area at the bottom of the window. Ok the windows. Then try to surf again.
