xp home to xp pro upgrade

A friend gave me compaq xp pro cd. When I tried to upgrade from xp home I got the message: unable to load file; D:\i386\WINNTUGD\NETUPG.DLL
how can I fix this issue?

The cd may be damaged, or your drive may not be able to read it fully. Try on another drive/machine.

Or don't try upgrading from within explorer - Boot off CD. If it's a compaq recovery CD it's not going to work anyway - They look into the BIOS and will refuse to load if its non compaq (or at least the UK ones do)
